Sandro Torrieri – President, CEO and Director

An Edmonton based hi-tech entrepreneur involved in a number of hardware and software interests. Mr. Torrieri is the founder of numerous start-ups. Prior to founding Carbeeza, Mr. Torrieri was the President of Interdynamix Systems Partnership, a provider of complex systems and architecture/design for telecom, cable and Fortune 500 corporations. North of the 49th parallel and as a tech entrepreneur, Mr. Torrieri sought out and built relationships with manufacturers, strategic partners and venture capitalists throughout the world.

Silicon Valley became his home away from home for many years while establishing his companies and interests. As an inventor, he holds several patents, an Emmy and is always keen to explore the technically improbable. Mr. Torrieri remains dedicated to the technology community seeking out and investing in state-of-the-art technologies worldwide and mentoring young entrepreneurs.

It is expected that Mr. Torrieri will commit approximately 100% of his time in connection with the Resulting Issuer. It is intended that Mr. Torrieri will enter into a new management agreement with the Resulting Issuer upon completion of the Privco Acquisition which will include non-compete and nondisclosure provisions.

Sandro is inspired daily by his wife and daughter. In his free time, Sandro is a auto enthusiast whom he likes to build and drag race his cars at the local track.

Breton Gaunt – Corporate Secretary

Breton is an associate in McLeod Law’s Business Law group. He practices in business and corporate/commercial law, corporate finance and securities. Before becoming a lawyer, Breton ran a residential concrete business. He has degrees in economics and biology and is a Red Seal concrete finisher.


Ibrahim Gedeon - Director

Dr. Ibrahim Gedeon has built a career in telecommunications by combining insight and skill as an applied scientist with a collaborative approach to leadership. As Chief Technology Officer for TELUS, a world leading communications technology company in Canada, he is responsible for innovation, technology development and strategy. Under Ibrahim’s leadership, the TELUS broadband network has been independently awarded as one of the best in the world. He is deeply passionate about advancing social capitalism and purpose, as well as diversity & inclusion. At TELUS, he acts as executive sponsor for a variety of Women in STEM (science, technology, engineering and mathematics) events across the organization.

Ibrahim sits on the board for the Digital Identification and Authentication Council of Canada and also served on the boards of the Next Generation Mobile Networks Alliance, the Alliance for Telecommunications Industry Solutions and the Institute for Communication Technology Management. In addition to his industry leadership roles, Ibrahim is a Fellow of both the IEEE (Institute of Electrical and Electronics Engineers) and the Canadian Academy of Engineering, with recognition for significant contributions to the field of engineering. Ibrahim was recently named as one of Canada's Best Executives by the Globe & Mail's Report on Business Magazine (May 2022).

Ibrahim holds a Bachelor's degree in Electrical Engineering from the American University of Beirut, a Master’s in Electronics Engineering from Carleton University and an Honorary Doctor of Laws degree from the University of British Columbia. He is passionate about supporting high-performing teams to innovate and move technology forward.


Evan Baptie – Director

Mr. Baptie holds a Master of Business Administration (Finance Specialization) Degree from the University of Alberta (2014). He is also a senior member of the TELUS Corporate Pension Fund, a $10 billion CAD pension plan. He is one of three investment professionals managing $1.6 billion of alternative investments, including Private Equity, Infrastructure and Private Credit, and $1.2 billion in Global Equity. Mr. Baptie oversees all aspects of the investment process and is also involved in risk management, economic analysis and asset allocation. Prior to joining TELUS Pension Investments in 2015, he spent 7 years in Finance Operations in positions of increasing responsibility.

In addition, Evan holds a Bachelor of Arts in Economics from the University of British Columbia (2008), and is a CFA Charter holder.


Niel Hiscox – Director

Mr. Hiscox is a Toronto-based entrepreneur with over 25 years’ experience in marketing, advertising, media and communications. In 2010, Mr. Hiscox started Universus Media Group Inc., a marketing and communications firm specialized in the automotive industry. In 2016, Universus expanded, becoming the Canadian provider of the Myadbox marketing automation platform. He previously served as the leader of CLB Media Inc., one of Canada’s largest business-to-business media companies and is a founding member of KPMG’s Digital Strategies consulting practice. He has held a variety of directorships for both Canadian and US organizations. He is a frequent speaker and panel moderator at automotive industry events.

Mr. Hiscox intends to devote such time to the affairs of the Resulting Issuer as is required from time to time.


Maria Nathanail – Director

Ms. Nathanail is a corporate lawyer focused on corporate finance, capital markets and securities regulation, and business and corporate commercial law. She represents public and private clients in domestic and international transactions, including: public offerings; mergers and acquisitions; reverse takeovers; debt and equity financings; private placements; corporate reorganizations and corporate structuring. Ms. Nathanail also handles compliance with corporate and securities regulatory requirements relating to stock exchange listings, corporate governance, continuous disclosure obligations and shareholders’ meetings.

Ms. Nathanail received her Juris Doctor from the University of Saskatchewan in 2005 and was called to the Alberta Bar in 2006. She has been a partner with McLeod Law since August 2017. Prior to that, she was with regional and international firms from 2006 - August 2017. Ms. Nathanail has extensive experience sitting on the boards of directors of both public and private companies.

Ms. Nathanail intends to devote such time to the affairs of the Resulting Issuer as is required from time to time.


Ron Hozjan – Director

Mr. Hozjan has served as a director of YSS since June 2018. Mr. Hozjan has held the role of Vice President, Finance and Chief Financial Officer of Aureus Energy Services Inc. since January 2020. Prior thereto, he served as Vice President, Finance and Chief Financial Officer of Tamarack Valley Energy Ltd. (TSX: TVE) from June 2010 until January 2020. Mr. Hozjan has also served as a director of Aloha Brands Inc. since April 2019 and of Aither Ingredient Corp. since February 2020. Mr. Hozjan is a Chartered Professional Accountant with over 30 years of oil and gas experience and over 20 years of experience as a senior financial officer. Prior to working with Tamarack Valley Energy Ltd., Mr. Hozjan served as the Chief Financial Officer of Vaquero Resources Ltd., which was acquired by RMP Energy Ltd. Prior thereto, he was the Vice President, Finance and Chief Financial Officer at a predecessor firm, Vaquero Energy Ltd., which grew successfully before merging with Highpine Oil & Gas Limited. Previously, Mr. Hozjan held various senior finance positions at Storm Energy Ltd., Beau Canada Exploration Ltd. and Renaissance Energy Ltd..
